Introduction

Welcome to Mimoni. These Terms of Use (“Terms”) govern your access to and use of all products, services, websites, mobile applications, and APIs provided by Mimoni Technologies Limited (“Mimoni,” “we,” “our,” or “us”).

Mimoni Technologies Limited is a company duly incorporated under the laws of the Federal Republic of Nigeria with RC Number 8748681.

By accessing or using our Services, you agree to be bound by these Terms and all related policies, including our Privacy Policy, and any other legal agreements referenced herein. If you do not agree, please discontinue use of our Services immediately.

Definitions

  • “User” or “You” means any person or entity that accesses or uses the Services.

  • “Services” means the fintech solutions offered by Mimoni, including but not limited to escrow transactions, payment processing, virtual banking, invoicing, gift card payments, crypto/fiat wallet services, and related APIs.

  • “Escrow” means a temporary holding of funds between buyers and sellers until transaction conditions are fulfilled.

  • “Virtual Account” means an account issued to you within the Mimoni platform to facilitate deposits, withdrawals, and transactions.

Eligibility

To use our Services, you must:

  • Be at least 18 years of age.

  • Have the legal capacity to enter into binding agreements.

  • Provide accurate, complete, and verifiable information when registering an account.

  • Not be subject to any financial sanctions or restrictions in Nigeria or any other relevant jurisdiction.

Account Registration

  • You must register an account to access most features.

  • You agree to provide accurate and up-to-date information.

  • You are responsible for maintaining the confidentiality of your login details.

  • Mimoni is not liable for any loss or damage resulting from unauthorized account access.

Acceptable Use

You agree not to use the Services to:

  • Engage in unlawful or fraudulent activity.

  • Facilitate money laundering, terrorism financing, or prohibited transactions.

  • Violate applicable laws, regulations, or directives of the Central Bank of Nigeria (CBN), SEC, or other regulators.

  • Interfere with or disrupt the security or integrity of the platform.

  • Sell, resell, or exploit our Services without authorization.

We reserve the right to suspend, restrict, or terminate your account if you breach this section.

Services Provided

Mimoni provides the following:

  • Escrow Transactions – Secured transactions between buyers and sellers.

  • Virtual Banking – Digital wallets, virtual accounts, and card services.

  • Crypto & Fiat Payments – Ability to store, send, or convert supported currencies.

  • Financial Tools – Invoicing, smart savings, and integrations with third-party services (e.g., Cowrywise).

  • APIs & Integrations – For merchants and businesses to integrate Mimoni’s payment solutions.

Additional services may be introduced from time to time. Terms may be updated accordingly.

Fees & Charges

  • Mimoni may charge transaction fees, escrow commissions, or service fees as disclosed on our platform.

  • By using our Services, you consent to these charges.

  • Fees are subject to review and may change upon notice.

Intellectual Property

  • All content, software, trademarks, and materials on Mimoni are the property of Mimoni Technologies Limited or its licensors.

  • You may not copy, reproduce, distribute, or create derivative works without prior written consent.

Data Protection & Privacy

  • We process your personal data in accordance with the Nigeria Data Protection Act (NDPA 2023) and other applicable laws.

Limitation of Liability

  • Mimoni provides Services on an “as is” and “as available” basis.

  • We do not warrant uninterrupted or error-free service.

  • To the maximum extent permitted by law, Mimoni shall not be liable for indirect, incidental, or consequential damages arising from use of our Services.

  • Our total liability shall not exceed the fees paid by you in the three (3) months preceding the claim.

Indemnity

You agree to indemnify and hold harmless Mimoni, its directors, employees, and affiliates from any claim, loss, liability, or expense (including legal costs) arising from:

  • Your use of the Services.

  • Breach of these Terms.

  • Violation of applicable laws.

Suspension & Termination

  • We may suspend or terminate your access if you breach these Terms, engage in unlawful activities, or pose a risk to our platform.

  • You may close your account at any time, subject to settlement of pending transactions.

Governing Law & Dispute Resolution

  • These Terms shall be governed by the laws of the Federal Republic of Nigeria.

  • Disputes shall first be resolved amicably.

  • Failing that, disputes will be submitted to arbitration under the Arbitration and Mediation Act 2023 in Lagos, Nigeria, with one arbitrator appointed by both parties.

Amendments

We may revise these Terms from time to time. Updated versions will be posted on our website/app with the effective date. Continued use constitutes acceptance.
